A VPPA lets your company claim renewable energy and cut reported emissions without moving a single electron onto your site. That is the appeal, and the confusion. It is a financial contract, not a power supply contract, and Indian law now treats it as exactly that.
What changed is the regulatory backing. As of December 2025 CERC has issued formal Guidelines for Virtual Power Purchase Agreements, and in April 2026 it published a Statement of Reasons explaining how these contracts will work as Non-Transferable Specific Delivery over-the-counter instruments for RCO compliance (CERC). SECI has followed with an Expression of Interest to aggregate corporate demand and run competitive bidding for VPPA strike price discovery (SECI EoI SECI/C&P/EOI/17/0004/25-26). The framework is no longer theoretical. It is being built.
This matters because the fastest-growing part of corporate demand for clean energy, the sustainability and compliance mandate, often runs ahead of what a physical solar or wind PPA can deliver. A VPPA fills that gap. But if you sign one without understanding how it interacts with the Renewable Consumption Obligation, foreign exchange rules and Ind AS, you can end up with a derivative on your balance sheet, a tax question you did not price for and a green claim your auditor will not sign.
Can Indian companies use virtual PPAs to meet renewable energy and sustainability targets?
Yes. As of December 2025 there is a specific CERC framework enabling VPPAs, and they now serve two distinct purposes: discharging your Renewable Consumption Obligation and supporting a Scope 2 market-based emissions claim.
CERC has structured the VPPA as a financial contract for difference that transfers renewable energy attributes to the buyer, designed explicitly to help obligated entities meet their RCO (CERC Statement of Reasons, 27 April 2026). That is a material shift. Earlier, a purely financial contract sat in a grey zone. Now the regulator has named it, defined it and pointed it at compliance.
The honest answer for a CFO or sustainability head is this: a VPPA is a hedging-plus-attributes instrument with regulatory recognition. It gives you a fixed price on renewable generation and a stream of environment attributes. Use it when a physical open access or captive project is not feasible at your location, and when you can absorb the accounting treatment of a financial contract.
Why the RCO trajectory makes this urgent
The cost of doing nothing is now a published number. Under the Energy Conservation Act 2001, the Central Government has notified Renewable Consumption Obligations on designated consumers, distribution licensees, open access consumers and captive users, with a rising share of non-fossil consumption each year (CERC VPPA Guidelines, 24 December 2025).
Miss the obligation and you pay a buyout. The CERC buyout price climbs every year: ₹347/MWh in FY 2025-26, ₹364/MWh in FY 2026-27, ₹382/MWh in FY 2027-28, rising to ₹421/MWh by FY 2029-30 (SECI VPPA EoI, 17 April 2026). That is a compliance penalty that grows roughly 21% over five years. For a large industrial load, non-compliance is a real and escalating cash line, not a soft target.
This is the commercial logic behind the framework. A VPPA lets you lock renewable attributes at a fixed price over a long horizon instead of paying a buyout that only rises.
What is a virtual power purchase agreement?
A VPPA, also called a synthetic PPA or financial PPA, is a contract for difference settled against the market price of electricity. CERC has characterised it as a Non-Transferable Specific Delivery over-the-counter contract (CERC Statement of Reasons).
Here is the mechanic. You and a renewable developer agree a fixed strike price per unit, say ₹3.50/kWh, on a defined volume of generation. The developer sells that generation into the power exchange or the grid at the prevailing market price. If the market price is above the strike, the developer pays you the difference. If it is below the strike, you pay the developer. On top of the cash settlement, the environment attributes from that generation transfer to you.
You never take delivery of the power. Your factory keeps drawing from its normal DISCOM or open access supply. The VPPA sits alongside your real electricity bill as a separate financial arrangement.
VPPA versus physical PPA in one line
A physical PPA moves both electrons and attributes to you. A VPPA moves only money and attributes. That single difference drives everything downstream: the legal characterisation, the accounting and the tax.
How is a VPPA structured in India?
India now has the regulatory anchor it lacked a year ago. The CERC guidelines and the SECI aggregation model together supply the building blocks a well-drafted contract needs.
The reference price is the first design choice. The natural candidate is the Day Ahead Market or Real Time Market clearing price on IEX or PXIL, published by the exchanges and regulated under the CERC Power Market Regulations 2021 (CERC). Choosing the settlement index and the settlement period is where most of the commercial risk lives. A poorly chosen index leaves you exposed to basis risk between where the developer sells and where you settle.
The second building block is the environment attribute. This is either an REC issued under the CERC REC mechanism, or an I-REC issued under the International Tracking Standard Foundation. The attribute is what makes your Scope 2 claim defensible, so the contract must specify issuance, transfer and retirement in your name.
Aggregation is the newest development worth watching. SECI proposes to act as a facilitation agency, pooling demand across industrial, commercial, public sector entities and DISCOMs, then running competitive bidding to discover the strike price (SECI VPPA EoI). Aggregation lowers the entry ticket for a single company, standardises counterparty risk and improves price discovery. It makes VPPAs viable for mid-sized C&I buyers who cannot underwrite a full project alone.
The cross-border question
Many Indian subsidiaries of multinationals want to sign a VPPA to feed a global renewable target. If the settlement counterparty or currency sits outside India, the contract becomes a foreign exchange derivative and falls under FEMA and RBI scrutiny. A rupee-settled, India-domestic VPPA, the kind CERC has framed, avoids that layer. Decide domicile before you negotiate price.
How is a VPPA accounted for under Ind AS?
This is the part most Indian buyers underestimate, and it is where your auditor gets involved early. Regulatory recognition of the instrument does not change its accounting character.
A VPPA is a contract for difference. Under Ind AS 109, Financial Instruments, a contract that settles net in cash and is not for your own expected use is a derivative (MCA Ind AS 109). Because a VPPA does not result in physical delivery of electricity to you, the own-use exemption that shelters a physical PPA generally does not apply.
The consequence: you likely have to recognise the VPPA at fair value on your balance sheet, and mark it to market every reporting period. Movements in the market price of electricity flow through your profit and loss unless you can qualify for hedge accounting. That introduces earnings volatility that has nothing to do with your operations. A CFO who signed for a stable green cost can find the instrument swinging reported profit quarter to quarter.
Hedge accounting under Ind AS 109 can dampen this, but it requires formal documentation, a clearly identified hedged item and effectiveness testing. Few Indian corporates have done this for a VPPA because the domestic instrument is so new. Budget for advisory time and get your auditor's view in writing before signing.
The environment attributes raise a separate question. RECs and I-RECs you receive and hold are typically intangible assets or inventory depending on intent, and their treatment should be agreed with your auditor up front.
Does a VPPA count towards your RCO?
This is the whole point of the CERC framework. The guidelines position VPPAs as an NTSD contract to facilitate RCO compliance by obligated entities (CERC Statement of Reasons). If your VPPA delivers CERC-compliant certificates and you retire them correctly against your obligation, they count towards your RCO and let you avoid the escalating buyout price.
Be precise on the attribute. RECs under the CERC mechanism are the compliance instrument. I-RECs are a voluntary market instrument used for corporate reporting and do not, on their own, satisfy the statutory obligation. Match the attribute to the claim you actually need.
When does a VPPA make commercial sense?
Run the decision on three tests.
First, physical feasibility. If open access, group captive or rooftop can deliver renewable power to your site at a competitive landed cost, do that first. A physical route decarbonises your actual supply and usually avoids the derivative accounting.
Second, scale and geography. If your load is spread across states, or your best renewable resource is far from your factory, a VPPA lets you contract generation where it is cheapest and claim it everywhere. That is its structural advantage, and the SECI aggregation route makes it accessible at smaller volumes.
Third, accounting appetite. If mark-to-market volatility in your P&L is unacceptable to your board, a VPPA is hard to justify unless you can secure hedge accounting.
What to do next
Two actions.
First, pull your last twelve months of DAM clearing prices from IEX and model a contract for difference at three candidate strike prices. This tells you whether a VPPA at today's market is a net cost or a net saving over the contract life, and it surfaces your basis risk before a developer sets the terms.
Second, send that draft to your statutory auditor with one question: own-use exemption, yes or no. Their answer decides whether a VPPA is a clean hedge or a balance-sheet complication. Get it before you talk price with any developer. If you cannot secure the own-use exemption, model the P&L volatility under mark-to-market and take it to your board early.

Is a virtual PPA legal in India?
Yes.
